ASSUMPTION REINSURANCE TRANSACTION

Notice is hereby given that the Canadian Branch of Partner Reinsurance Company Ltd. (“PRCL”), pursuant to section 587.1 of the Insurance Companies Act (Canada), intends to make an application to the Superintendent of Financial Institutions (Canada) [the “Superintendent”] on or after December 28, 2011, for the Superintendent’s approval to enter into an assumption reinsurance agreement (the “Assumption Reinsurance Agreement”) with the Canadian Branch of Partner Reinsurance Europe Public Limited Company (Life Branch) [“PREEL”], under which PRCL shall agree to cede to PREEL, and PREEL shall agree to reinsure, on an assumption basis, all of the insurance liabilities undertaken by PRCL, including all present and future obligations under such risks.

A copy of the proposed Assumption Reinsurance Agreement and of the report of the independent actuary relating to this transaction will be available for inspection by the policyholders of PRCL and PREEL during regular business hours at the office of the Chief Agent of the Canadian branch of PRCL and the Canadian branch of PREEL each located at 123 Front Street W, Suite 909, Toronto, Ontario M5J 2M3, for a period of 30 days following publication of this notice.
