AVIATION INDUSTRY INDEMNITY ACT

Undertaking

TO: EVERY PERSON COVERED REFERRED TO IN THE ATTACHED SCHEDULE

I, the undersigned, Minister of Transport, acting on behalf of the Government of Canada, pursuant to the Aviation Industry Indemnity Act, hereby agree to indemnify any aviation industry participant referred to in the Schedule attached, in accordance with the terms and conditions set out herein and the Schedule attached.

Acceptance of this Undertaking on the part of any aviation industry participant covered is presumed without any formal communication by that aviation industry participant being necessary.

The indemnity provided under this Undertaking is subject to the terms and conditions set out herein and in the Schedule attached. Notwithstanding anything herein or in the Schedule attached, such indemnity shall not exceed the limit of the amount covered for aviation liability under the insurance policy of the aviation industry participant.

Subject to the Aviation Industry Indemnity Act, all applicable terms and conditions of the insurance policies shall apply to this Undertaking.

Words and expressions used herein shall have the same meaning as ascribed to them in the Schedule attached.

This Undertaking takes effect from January 1, 2016, and replaces the Undertaking issued pursuant to Order in Council P.C. 2013-1340 dated December 13, 2013. This Undertaking will terminate on June 30, 2016.

SCHEDULE

TERMS AND CONDITIONS

DEFINITIONS

“aviation industry participant” has the same meaning as in the Aviation Industry Indemnity Act;

“event” has the same meaning as in the Aviation Industry Indemnity Act;

“person” means any individual, company, corporation, partnership, limited partnership, firm, trust, sole proprietorship, government or government agency, authority or entity however designated or constituted.

RISKS COVERED

Loss or damage or liability that is caused by an event as defined in the Aviation Industry Indemnity Act, and for greater certainty, any additional coverage in respect of aviation war risk liability for Third Party Bodily Injury and Property Damage in excess of the first US$150 million covered by insurance underwriters under AVN52E or other standard write-back endorsement in respect of an airline aviation industry participant, or in excess of US$50 million covered by insurance underwriters under AVN52G or other standard write-back endorsement in respect of all other aviation industry participants, and for any persons covered in an insurance policy held by any aviation industry participant or where a person covered by the Undertaking has purchased insurance covering war risk liability for Third Party Bodily Injury and Property Damage of more than US$150 million in respect of AVN52E or US$50 million in respect of AVN52G, any additional coverage in excess of the amount purchased. An aviation industry participant will receive coverage to an amount equivalent to the general insurance policy held by that aviation industry participant.

PERIOD

From January 1, 2016, to June 30, 2016.

CONTRACTUAL TERMS

Same as in a write-back endorsement, except for the limit of coverage, the period and the renewal that are set out in this document and, in respect of any risks not included in the write-back endorsement that the Minister of Transport has declared to be subject to the Undertaking, such terms as are required so as to permit the Minister of Transport to give effect to the indemnification provided for in this document.
