TRANSFER OF BUSINESS

Notice is hereby given, pursuant to section 236 of the Bank Act, that Mega International Commercial Bank (Canada) intends to apply to the Minister of Finance, on or after April 3, 2017, for approval of a sale agreement, subject to approval by a special resolution of the shareholders of Mega International Commercial Bank (Canada).

Mega International Commercial Bank (Canada) will sell all or substantially all of its assets to Mega International Commercial Bank Co., Ltd., to be operated as a branch, to be established under the name Mega International Commercial Bank Co., Ltd. Its principal office will be located in Toronto, Ontario. The branch will take over the existing business (except certain deposits) of Mega International Commercial Bank (Canada) and provide financing, trade finance and remittance services to Canadian companies and Taiwanese and other foreign companies doing business in Canada.

Note: The publication of this Notice should not be regarded as evidence that an order will be issued to approve the sale agreement. The granting of the order will be dependent on the normal Bank Act application review process and the discretion of the Minister of Finance.

SILICON VALLEY BANK

APPLICATION TO ESTABLISH A FOREIGN BANK LENDING BRANCH

Notice is given pursuant to subsection 525(2) of the Bank Act (Canada) that Silicon Valley Bank, a foreign bank with its head office in Santa Clara, California, United States of America, and a wholly owned subsidiary of SVB Financial Group, intends to apply to the Minister of Finance (Canada) for an order permitting Silicon Valley Bank to establish a lending branch in Canada to carry on the business of banking in Canada. The lending branch will carry on business under the name Silicon Valley Bank, in English, and Banque Silicon Valley, in French, and will primarily engage in commercial lending in Canada. Its principal office will be located in Toronto, Ontario.

Any person who objects to the proposed order may submit an objection in writing to the Office of the Superintendent of Financial Institutions (Canada), 255 Albert Street, Ottawa, Ontario K1A 0H2, on or before March 14, 2017.

The publication of this notice should not be construed as evidence that an order will be issued to establish the foreign bank branch. The granting of the order will be dependent on the normal Bank Act (Canada) application review process and the discretion of the Minister of Finance (Canada).
