LETTERS PATENT OF AMALGAMATION

Notice is hereby given that, subject to approval by special resolution of their respective shareholders, Genworth Financial Mortgage Insurance Company Canada and MIC Holdings H Company intend to jointly apply to the Minister of Finance pursuant to subsection 250(1) of the Insurance Companies Act, on or after April 24, 2017, for letters patent of amalgamation continuing them as one insurance company under the Insurance Companies Act, under the name “Genworth Financial Mortgage Insurance Company Canada” in English and “Compagnie d'assurance d'hypothèques Genworth Financial Canada” in French. Its head office will be located in Oakville, Ontario. Prior to the amalgamation application being made to the Minister of Finance, MIC Holdings H Company intends to change its name to “MIC Holdings H Company Limited” and be continued as a corporation under the Canada Business Corporations Act.

Note: The publication of this notice should not be construed as evidence that letters patent will be issued to amalgamate and continue the applicants as an insurance company. The granting of the letters patent will be dependent upon the normal Insurance Companies Act application review process and the discretion of the Minister of Finance.
