BANKING CIRCLE S.A.

APPLICATION TO ESTABLISH A FOREIGN BANK BRANCH

Notice is given pursuant to subsection 525(2) to the Bank Act of Canada that Banking Circle S.A., a foreign bank with its head office in Luxembourg, intends to apply to the Minister of Finance (Canada) for an order permitting it to establish a full-service branch in Canada to carry on the business of banking.

Subject to the prior approval of the Minister and receipt from the Superintendent of Financial Institutions of an order to commence and carry on business, the branch intends to carry on business under the name Banking Circle S.A. - Canada Branch and its principal office will be located in Toronto, Ontario. The ultimate controlling shareholder of Banking Circle S.A. is EQT Fund Management S.à r.l., acting as manager of EQT VIII.

Any person objecting to the proposed order may submit an objection in writing to the Office of the Superintendent of Financial Institutions (Canada), 255 Albert Street, 12th Floor, Ottawa, Ontario K1A 0H2 on or before September 9, 2024.

The publication of this notice should not be construed as evidence that an order will be issued to establish the foreign bank branch. The granting of the Order will be dependent on the normal Bank Act (Canada) application review process and at the discretion of the Minister of Finance (Canada).

LETTERS PATENT OF CONTINUANCE
LETTERS PATENT OF AMALGAMATION

Notice is hereby given that on April 25, 2024, Raymond James Trust (Québec) Ltd. (“RJTQ”) filed a draft application with the Office of the Superintendent of Financial Institutions (“OSFI”), pursuant to subsection 31(2) of the Trust and Loan Companies Act (Canada) [the “TLCA”], to request that the federal Minister of Finance (“MoF”) issue letters patent of continuance to continue RJTQ as a federally incorporated, non-deposit taking trust company. The continued company will continue to be named Raymond James Trust (Québec) Ltd. in English and Fiducie Raymond James (Québec) Ltée in French. RJTQ is currently a trust company under the Trust Companies and Savings Companies Act (Québec) [the “TCSCA”] having its head office in Montréal, Quebec, and is a wholly owned subsidiary of Solus Trust Company (“Solus”). RJTQ will formalize its application upon receipt by RJTQ of approval by Quebec’s Minister of Finance to do so, pursuant to section 228 of the TCSCA.

Notice is also hereby given that on April 25, 2024, RJTQ and Solus jointly filed an application with OSFI, pursuant to sections 228 and 233 of the TLCA, to request that the MoF issue letters patent of amalgamation to amalgamate Solus and RJTQ, with the resulting entity being named Solus Trust Company in English and Compagnie Trust Solus in French (i.e. unchanged). Solus is a federally incorporated trust company pursuant to the TLCA, with its head office in Toronto, Ontario. The amalgamated company is, and will continue to be, a non-deposit taking trust company, offering estate and trust services to its clients across Canada. Its head office will remain in Toronto, Ontario.

Any person who objects to the issuance of these letters patent may submit their objection in writing by August 20, 2024, to OSFI either by post at 255 Albert Street, Ottawa, Ontario K1A 0H2, or by email at approvals-approbations@osfi-bsif.gc.ca.

Note: The publication of this notice should not be construed as evidence that letters patent will be issued to continue RJTQ as a trust company under the TLCA or for the proposed amalgamation. The granting of the letters patent will be dependent upon the application review process under the TLCA and the discretion of the MoF.

LETTERS PATENT OF AMALGAMATION

Notice is hereby given that Santander Consumer Bank, a Canadian Schedule II bank governed by the Bank Act, Santander Consumer Finance Inc., a corporation governed by the Canada Business Corporations Act, and Santander Consumer Inc., a corporation governed by the Canada Business Corporations Act (collectively, the “Applicants”), intend to jointly apply to the Minister of Finance pursuant to subsection 228(1) of the Bank Act, on or after July 22, 2024, for letters patent of amalgamation continuing them as a bank under the Bank Act, under the name “Santander Consumer Bank” in English and “Banque Santander Consumer” in French. The head office of the amalgamated bank will be located in the city of Edmonton, Alberta.

The amalgamation is conditional on the Superintendent of Financial Institutions issuing Santander Consumer Bank its Order to Commence and Carry On Business (the “OCCB”) pursuant to subsection 49(1) of the Bank Act. If the OCCB is not issued, the Applicants will not amalgamate.
